• Upon full payment, you receive ownership of the custom code developed specifically for your project
• We retain ownership of pre-existing code, frameworks, libraries, and tools used in development

• Third-party components remain subject to their respective licenses

• A deposit of 30-50% is required before project commencement
• Milestone payments may be required for larger projects
• Final payment is due upon project completion and before final deliverables
• Ongoing services are billed monthly in advance
• Payments are due within 14 days of invoice date unless otherwise specified
• Late payments may incur interest at 1.5% per month or the maximum legal rate
• We reserve the right to suspend services for accounts more than 30 days overdue
• Collection costs and legal fees may be added to outstanding balances
Refunds are handled on a case-by-case basis. Generally, deposits are non-refundable once work has commenced. See your specific service agreement for detailed refund terms.

We warrant that our Services will be performed in a professional and workmanlike manner consistent with industry standards.
For custom development projects, we typically provide a 30-90 day warranty period for bug fixes related to the original scope of work.
EXCEPT AS EXPRESSLY PROVIDED HEREIN, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
We disclaim all warranties including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
We do not warrant that our Services will be uninterrupted, error-free, or completely secure.
We are not responsible for the availability, accuracy, or reliability of third-party services, APIs, or integrations used in your project.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
8.1 IN NO EVENT SHALL QUATRIX TECH, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:
• Loss of profits, revenue, or business opportunities
• Loss of data or data breaches
• Loss of goodwill or reputation
• Business interruption
• Any other intangible losses
8.2 OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
8.3 These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.
8.4 Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless Quatrix Tech and its officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Jurisdiction: Any legal action shall be brought exclusively in the courts of Dhaka, Bangladesh.
TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY CLAIMS WILL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
